NDA Generator: Mutual or One-Way Non-Disclosure Agreement

Generate legally structured mutual or unilateral non-disclosure contracts with custom durations and jurisdiction.

Non-disclosure agreement (NDA): what the generated template covers

The generator produces a six-article non-disclosure agreement governed by French law (definition, obligations, exceptions, term, return, jurisdiction), one-way or mutual, from the parties' names, the purpose of the exchange, a term of 1 to 10 years and the city of the competent court. You can copy or print the text; it is a starting point, not legal advice.

One-way or mutual

A one-way NDA protects the information of a single party, the Disclosing Party, towards the Receiving Party: for instance a start-up presenting its technology to an investor. A mutual NDA suits two parties who both share data, such as two companies exploring a partnership. In the tool, this choice changes the contract heading and how the parties are named (Party A and Party B in the mutual version, each being the Disclosing Party for what it shares and the Receiving Party for what it receives).

What the generated text contains

  1. A broad definition of confidential information: technical, financial, commercial, source code, know-how, disclosed in writing, orally or electronically.
  2. Obligations: no disclosure without written consent, use only for the project, sharing only with employees and advisers involved, protection equal to one's own sensitive data.
  3. Three exceptions: public domain, prior knowledge, legal obligation to disclose.
  4. A term of 1, 2, 3, 5 or 10 years, counted from the last disclosure of information.
  5. Return or destruction of documents on written request.
  6. French law and the courts within the jurisdiction of the court of appeal of the chosen city.

Example

With the default 3-year term, if the last information is disclosed on 1 March 2027, the confidentiality obligation runs until 1 March 2030.

Limits of the template

  • No penalty clause: after a leak, damages will be set by the court.
  • Company details include no registration number or share capital.
  • The exceptions do not cover information developed independently or lawfully received from a third party.

This generic template, written for French law, does not replace review by a lawyer, especially for high stakes or a foreign partner.

Sources and dates: trade secrets are defined in article L151-1 of the French Commercial Code, introduced by Act 2018-670 of 30 July 2018; protection requires, among other things, reasonable protective measures, which a confidentiality agreement can be part of. The template does not cite these articles (checked 14/10/2026).

Frequently Asked Questions

Should I choose a one-way or a mutual NDA?

One-way if only one party shares sensitive information, for instance a start-up facing an investor or a supplier. Mutual if both parties exchange data, as when exploring a partnership. When in doubt, a mutual NDA protects both sides without real drawbacks.

How long should a confidentiality agreement last?

The tool offers 1, 2, 3, 5 or 10 years, counted from the last disclosure of information; 3 years is the default. For technology or know-how that keeps its value for a long time, 5 to 10 years is more consistent.

What happens if the other party breaches the NDA?

You can sue before the court named in the agreement, here the one within the jurisdiction of the chosen French court of appeal. The template has no penalty clause, so the judge sets damages according to the proven loss. A fixed-amount clause should be added with a lawyer's help.

Is this NDA template enough for a foreign partner?

It is drafted under French law and designates French courts. With a foreign partner, the contract language, the governing law and enforcing a judgment abroad all become issues in their own right, so have the text reviewed by a lawyer.
